1. Platform Overview
Umbrella is a PLATFORM ONLY. We facilitate connections but DO NOT:
- Participate in, verify, or guarantee any transactions
- Take custody of items or payments
- Verify condition, ownership, or legality of items
- Act as agent, broker, or intermediary
2. Marketplace & Community Share
CRITICAL: ALL transactions are DIRECTLY between residents. Platform has NO responsibility for:
- Quality, safety, or legality of items
- Failed transactions or disputes
- Damaged, lost, or unreturned items
- Financial losses
You are STRONGLY ENCOURAGED to:
- Document item condition with photos before lending
- Get written agreements for items over $100
- Verify homeowners insurance covers lending/borrowing
- Meet in public areas for exchanges
3. Events
Event organizers are SOLELY responsible for:
- Event safety, permits, and insurance
- All injuries, damages, or losses at events
- Food safety and health compliance
Platform is NOT responsible for any event-related issues. Attend at your own risk.
4. Privacy & Data
We collect: Name, email, phone, unit number, posts, listings
We use it for: Platform functionality, resident communication
We share: Your name and unit are visible. You control phone/email visibility.
We do NOT sell your personal information.
5. User Conduct - You may NOT:
- Post false, misleading, or fraudulent information
- Harass, threaten, or defame other users
- Sell illegal items or services
- Violate any laws or HOA rules
6. Disclaimers & Limitation of Liability
⚠️ PLATFORM PROVIDED "AS IS":
- NO WARRANTIES of any kind
- NOT responsible for user content or actions
- NOT liable for damages from platform use
- TOTAL LIABILITY shall not exceed $100
7. Indemnification
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS Umbrella from ANY claims arising from:
- Your use of the platform
- Transactions with other users
- Events you organize or attend
- Items you sell, buy, lend, or borrow
8. Your Rights
You have the right to:
- Access your personal data
- Request deletion of your account
- Control privacy settings
- Opt out of non-essential notifications
9. Account Registration & Security
You are responsible for:
- Providing accurate information during registration
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of unauthorized access
We reserve the right to suspend or terminate accounts for violations of these terms.
10. Content Ownership & License
Your Content:
- You retain ownership of all content you post
- You grant Umbrella a license to display and distribute your content on the platform
- You are responsible for ensuring you have rights to any content you post
Platform Content:
- All platform design, code, and features are owned by Umbrella
- You may not copy, modify, or reverse engineer the platform
11. Prohibited Activities
You may NOT:
- Violate any local, state, or federal laws
- Infringe on intellectual property rights
- Transmit viruses or malicious code
- Attempt to gain unauthorized access to the platform
- Use automated systems to access the platform
- Impersonate others or misrepresent your affiliation
- Collect other users' information without consent
12. Community Standards
We expect all users to:
- Treat other residents with respect
- Post accurate and truthful information
- Respond promptly to communications
- Honor commitments made through the platform
- Report suspicious or inappropriate behavior
13. Dispute Resolution
Between Users:
- Disputes between users are NOT Umbrella's responsibility
- We encourage users to resolve disputes directly
- We may remove users who repeatedly engage in disputes
With Platform:
- Any disputes with Umbrella will be governed by the laws of South Carolina
- You agree to attempt informal resolution before legal action
14. Termination
We may terminate or suspend your account:
- For violations of these terms
- For fraudulent or illegal activity
- At our discretion for any reason
Upon termination, you lose access to all platform features and your data may be deleted.
15. Changes to Terms
We reserve the right to modify these terms at any time. Users will be notified of significant changes and must accept new terms to continue using the platform.
16. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement
These terms constitute the entire agreement between you and Umbrella regarding use of the platform and supersede all prior agreements.
